Terms & Conditions

Please read these Terms and Conditions (“Terms”) carefully before using any boardEX interactive flat panel display product or its inbuilt stage-environment website. By purchasing, installing, or using any boardEX product or service, you agree to be bound by these Terms. If you do not agree, do not use our products or services.

1. Definitions

For the purposes of these Terms:

  • "boardEX": refers to the company boardEX, headquartered in Dubai, UAE.
  • "Product": refers to boardEX interactive flat panel display hardware and its inbuilt stage-environment website.
  • "User": refers to any individual or organization that purchases, installs, operates, or interacts with the Product.
  • "Content": refers to any data, media, text, images, or other material displayed, uploaded, or managed through the Product.

2. Acceptance of Terms

By accessing or using the boardEX Product, you confirm that you are at least 18 years of age, have the authority to agree to these Terms on behalf of yourself or your organization, and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

3. Product License

Subject to your compliance with these Terms, boardEX grants you a limited, non-exclusive, non-transferable license to use the Product solely for its intended purpose — displaying and managing content through the interactive flat panel display and its inbuilt website.

You may not:
  • Reverse-engineer, decompile, or disassemble any part of the Product or its software.
  • Modify, adapt, or create derivative works of the inbuilt website or firmware.
  • Sublicense, resell, or distribute access to the Product without written consent from boardEX.
  • Use the Product for any unlawful purpose or in violation of any applicable regulations.

4. Use of the Inbuilt Website

The boardEX Product includes a website that operates within a stage environment. This website is provided solely for device configuration, content management, and administrative purposes.

You agree not to:
  • Attempt to gain unauthorized access to any part of the website or its backend systems.
  • Upload, transmit, or display content that is unlawful, harmful, defamatory, or infringing on third-party rights.
  • Interfere with or disrupt the operation of the website or connected network infrastructure.
  • Use automated scripts, bots, or crawlers to interact with the website.

5. Intellectual Property

All intellectual property rights in the Product, including hardware design, firmware, software, the inbuilt website, and all associated content created by boardEX, are and remain the exclusive property of boardEX. Nothing in these Terms transfers any ownership of intellectual property to you.
You retain ownership of any Content you upload or display through the Product. By doing so, you grant boardEX a limited license to process and display that Content solely for the purpose of delivering the Product's functionality.

6. Warranties and Disclaimers

boardEX warrants that the Product will perform materially in accordance with its documentation under normal use. To the maximum extent permitted by law:

  • The Product is provided "as is" and "as available" without warranties of any kind beyond those expressly stated.
  • boardEX does not warrant that the Product will be error-free, uninterrupted, or free of security vulnerabilities.
  • boardEX is not responsible for damage resulting from misuse, unauthorized modifications, or use outside the intended environment.

7. Limitation of Liability

To the fullest extent permitted by applicable law, boardEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Product, including but not limited to loss of data, revenue, business, or goodwill.
boardEX's total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the Product in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless boardEX and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to: your use of the Product; your violation of these Terms; your violation of any applicable law or third-party rights; or any Content you upload or display through the Product.

9. Updates and Modifications

boardEX may release firmware or software updates for the Product from time to time. These updates may be required for continued operation and may change features or functionality. Continued use of the Product after an update constitutes acceptance of the updated software.
boardEX reserves the right to modify these Terms at any time. We will notify users of significant changes via the panel interface or registered email. Continued use of the Product after the effective date of any changes constitutes your acceptance of the revised Terms.

10. Termination

boardEX may suspend or terminate your right to use the Product if you breach these Terms and fail to remedy the breach within 14 days of written notice. Upon termination, the license granted under Section 3 will immediately cease, and you must stop using the Product and inbuilt website.
Sections 5, 6, 7, 8, 11, and 12 will survive any termination of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
